Summary

The Commercial Contract Paralegal will serve as an initial point of contact for the business who require assistance with contract templates, negotiation and finalization of certain agreements. The Commercial Contracts Paralegal will also assist the lawyers in the legal department with drafting communications and providing analysis and research for different projects. The candidate coming into this role should be detail oriented, familiar with contract law and principles, and adaptable to a fast-paced work environment.

The Commercial Contract Paralegal works out of our corporate office in Edmonton, and reports to our General Counsel.

Responsibilities
  • Serve as initial point of contact for people in the business who require contract templates and template contract language
  • Assist people in the business with negotiation of certain agreements following guidelines laid out by General Counsel
  • Explain contract terms and conditions to people in the business
  • Analyze potential risks involved with specific contract terms and convey those risks to people in the business
  • Drafting basic amending agreements (renewals, etc.)
  • Assist in training business team members, as needed, with ConvergePoint contract management system
  • Assist with finalizing documents and coordinating signatures on documents
  • Work with ConvergePoint contract management system for contract review and storage
  • Perform preliminary legal research as needed by lawyers
  • Drafting correspondence as needed by lawyers
  • Coordinating the collection of signatures and close out reports for marketing promotions
  • Coordinate and track due diligence screening documents for vendor screening,
    • Perform initial screenings and evaluation of information
  • Coordinate evidence from departments within the business to support trademark applications, renewals and disputes
  • Tracking and filing trademarks internally (work closely with external trademark agent to track progress of matters, scan and organize all trademark certificates, file hard copies of trademark certificates, update spreadsheets for use by business)
  • Assist legal counsel with review of online offerings of potentially counterfeit goods (gathered by a tool)
  • Perform preliminary review of some marketing materials to identify problematic claims (using guidelines given by General Counsel)
  • Stay up-to-date with legislative changes and coordinate with the legal department as needed
  • Coordinate work with the other part-time paralegal
  • Administrative duties as required, including formatting and finalizing documents

Requirements
  • Experience with legal research tools such as Westlaw and CanLii
  • Related post-secondary diploma or degree (examples: bachelor's degree or diploma in paralegal or legal studies, paralegal certificate, bachelor's degree or diploma legal assistant)
  • Knowledge of contract law and principles is required
  • 10 years of previous experience with a variety of commercial agreements
  • Experience with contract administration is required
  • Special organizational skills to coordinate documentation
  • Past experience handling confidential business matters and information with discretion
  • Expertise in diverse computer applications
    • Highly skilled in Microsoft Word, Powerpoint and Adobe
    • Medium skills in Excel
  • Eagerness to take initiative and learn quickly
  • Excellent communication and writing skills
  • Ability to thrive in a dynamic, high-pressure environment, to prioritize tasks and adapt to quick changes while remaining diligent through each task performed
  • Part time: Approximately 24 hours per week
    • Schedule Flexibility (hours may change, based on volume of work)
